Does gaining 5 armor count for and upgrade and 2/3 of the next one or does it count for an upgrade and 2 wasted armor tho .. I can see both happening and I’m more inclined for the wasted armor

Gaining 5 armor is just one upgrade. No progress on the second one. Progress in general is saved across turns and tracked on the card.
